Executive Driving Services — Terms & Conditions (Alberta)

1) Who we are & Scope

These Terms & Conditions (“Terms”) govern all executive/private SUV transportation and concierge services provided by Executive Driving Services (“EDS”, “we”, “us”, “our”). By placing a booking or using our services, you agree to these Terms.

2) Bookings, Changes & Substitutions

• Accuracy: You must provide correct pickup times, locations, passenger count, luggage info, and any special requirements (child seats, access gates, etc.).
• Verification: A pre-authorization may be placed before dispatch.
• Vehicle Substitution: We may substitute a comparable or higher-class vehicle if required for safety or operational reasons, at no extra cost.
• Delays Outside Our Control: Weather, traffic, road closures, and law-enforcement stops may affect ETA. We are not liable for indirect losses such as missed flights.

3) Rates, Waiting Time & Extras

• Quoted rates include vehicle, chauffeur, and standard distance/time.
• Waiting Time: 15-minute grace period, then billed in 15-minute increments.
• Tolls/Parking: Charged at cost.
• After-hours/peak surcharges may apply.
• Overtime: Services exceeding booked duration are billed at the hourly rate.

4) Cancellations & No-Shows

Unless your confirmation states otherwise:

• Sedan/SUV:
  • Free cancel/change ≥ 24 hours
  • 50% charge 2–24 hours
  • 100% charge < 2 hours or no-show
• Special Events / Long-Distance: Free until 72 hours prior; 100% charge within 72 hours.
• No-show: Driver waits full grace period and cannot reach you.

5) Passenger Conduct & Safety

• Seatbelts: Mandatory for all passengers. Alberta laws apply.
• Child Seats: Available upon request; compliance is the client’s responsibility.
• No Smoking/Vaping: Strictly prohibited.
• Alcohol & Cannabis: No open liquor or cannabis consumption in vehicles.
• Pets: Service animals allowed; pets must be pre-declared.
• Right to Refuse: Service may be refused for unsafe or unlawful conduct.

6) Cleaning, Damage & Downtime

• Standard detailing: $95–$150
• Spill/stain extraction: $150–$300
• Biohazard cleanup: $300–$600 + downtime
• Smoke/vape odour remediation: $250–$500
• Damage: actual parts + labour + downtime

7) Payment, Overdue Amounts & Chargebacks

• Accepted methods: credit cards, e-Transfer, invoicing (approved), cash.
• Overdue balances accrue interest at 1.5%/month (18%/year) or lawful maximum.
• Interac e-Transfers cannot be reversed once deposited.

7.1 “Friendly Fraud” / Unjust Chargebacks — 72-Hour Cure

• You agree to contact us first and allow 72 hours to resolve any billing issue.
• If a chargeback is filed without contacting us, and the bank determines it was unjustified, we may invoice:
  • Processor dispute fees
  • $200 admin cost recovery
  • Any legal/collection fees actually incurred
• If repaid within 72 hours, all admin/collection fees are waived.

8) Lost Property

We are not responsible for items left behind but will assist retrieval where possible.

9) Limits of Liability

EDS’s total liability is limited to the amount paid for the affected service. We are not liable for indirect or consequential damages unless prohibited by law.

10) Dispute Resolution, Governing Law & Venue

These Terms follow the laws of Alberta. Claims may be brought in Alberta Court of Justice. Arbitration is optional and only by mutual agreement.

11) Non-Refundable Deposit Policy

A 50% deposit is required to secure all bookings unless otherwise stated in writing. This deposit is non-refundable at all times, regardless of cancellation reason, operational changes, or client schedule adjustments.

12) Chargeback, Fraud & Legal Cost Recovery

Unjust, unfounded, or fraudulent chargebacks significantly impact small operators. Accordingly, if a credit-card chargeback is initiated without valid grounds and the issuing bank rules in our favour, the client agrees to be responsible for:

• A $200 administrative chargeback fee
• All legal fees, filing fees, and collection costs actually incurred
• Any additional processor dispute fees passed on to us

These amounts are genuine cost recoveries, not penalties, and apply only when a dispute is proven unjustified.

13) Changes to Terms

We may update Terms periodically; the version active at booking applies.

1) About this Policy

We are committed to protecting your personal information in accordance with Alberta’s Personal Information Protection Act (PIPA). This Policy explains what we collect, why we collect it, how we use and share it, where it is stored, and the choices available to you.

2) What We Collect

• Identity & Contact: name, company, phone, email.
• Trip Data: pickup/drop-off locations, dates/times, routing, instructions.
• Communications: calls, emails, messages through apps or website.
• Payment Data: tokenized card details (via payment processor); e-Transfer confirmations. We do not store full card numbers.
• Device/App Telemetry: push tokens, crash logs, app diagnostics.
• Safety & Compliance: incident reports, lost-and-found records, driver notes.

3) Purposes

We collect and use personal information to:

• Accept, manage, and complete bookings.
• Dispatch drivers and provide concierge support.
• Verify identity, prevent fraud, and manage payments/chargebacks.
• Ensure safety and comply with seatbelt, child-seat, open-liquor, and cannabis laws.
• Improve our services, website, and app performance.
• Send transactional notices; with your consent, send marketing communications under CASL (unsubscribe anytime).

4) Consent & Your Choices

We rely on your express or implied consent under PIPA for most collection and use of your personal information, along with other lawful grounds (fraud prevention, fee collection, legal claims). You may withdraw consent at any time, subject to legal and contractual limits with reasonable notice.

5) Sharing & Cross-Border Transfers

• Payment processors: to handle payments and disputes.
• Technology vendors: hosting, email/SMS, booking systems — all under confidentiality agreements.
• Regulators & Law Enforcement: when legally required or to protect safety.

Some service providers may store or process data outside Canada. This means it may be subject to foreign laws. We use contractual, organizational, and technical safeguards appropriate to the sensitivity of the information.

6) Security & Retention

We use administrative, technical, and physical safeguards appropriate to the sensitivity of your data. We retain personal information only as long as necessary to provide services, meet legal and accounting requirements, and resolve disputes. Afterwards, we securely delete or de-identify the data.

7) Access, Correction & Complaints

You may request access to or correction of your personal information at any time. If you are not satisfied with our response, you may contact the Office of the Information and Privacy Commissioner (OIPC) of Alberta.

8) Breach Notification

If a privacy incident results in a real risk of significant harm, we will notify you and the OIPC as required by PIPA.

9) Marketing Under CASL

We send commercial electronic messages (promotions, offers, updates) only with consent or where legally permitted. All messages include an unsubscribe option. You may withdraw consent at any time.
